Please read these Terms and Conditions carefully before using our website or enrolling in any Karex programme. By accessing karexm.pro or submitting an enrolment enquiry, you agree to be bound by these terms.
1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Karex", "we", "us", "our" — Karex, an educational services provider registered and operating in Malaysia, with offices at Level 28, Menara 3 Petronas, KLCC, 50088 Kuala Lumpur.
- "Services" — the M&A process education programmes offered by Karex, including the online course, the senior team workshop, and the readiness consulting engagement, as described on this website.
- "User" or "you" — any individual or organisation accessing our website or enrolling in a Karex programme.
- "Content" — all text, course materials, worksheets, reference handbooks, readiness plan documents, website copy, and other materials produced or provided by Karex.
- "Agreement" — these Terms and Conditions, together with our Privacy Policy and Cookie Policy.
- "Programme" — any specific Karex educational offering enrolled in by a User.
2. Acceptance of Terms
By using this website or submitting an enquiry or enrolment request, you confirm that:
- You have read and understood these Terms and Conditions
- You are at least 18 years of age
- You have the capacity to enter into a legally binding agreement
- If acting on behalf of an organisation, you have the authority to bind that organisation to these terms
If you do not agree to these terms, you should not use this website or enrol in any Karex programme.
3. Service Description
Karex provides structured educational programmes covering M&A process topics. Our current programme catalogue comprises three offerings:
- M&A Process Foundations Online Course (SEG-01) — a self-paced online course of seven modules (RM 700 per participant)
- M&A Process Workshop for Senior Teams (SEG-02) — a two-day on-site facilitated workshop for groups up to 12 (RM 3,200 per group)
- M&A Process Readiness Consulting Engagement (SEG-03) — an approximately 12-week consulting engagement producing a written readiness plan (RM 4,500 per engagement)
Programmes are available to participants based in Malaysia. Karex reserves the right to decline enrolment requests at its discretion. All programmes are provided strictly as informational education or operational consulting; they do not constitute financial, legal, or investment advisory services.
4. Enrolment & Online Access
Enrolment in any Karex programme is confirmed only upon receipt of the applicable fee and a written confirmation from Karex. Submission of an enquiry form does not constitute a binding enrolment.
Online course access
Access credentials for the SEG-01 online course are issued to the enrolled individual only. Credentials may not be shared, transferred, or used by any person other than the enrolled participant. Karex reserves the right to suspend access where misuse is identified.
Account security
You are responsible for maintaining the confidentiality of any access credentials provided. Karex is not liable for any loss or unauthorised access arising from your failure to keep credentials secure.
5. User Responsibilities
When accessing our website or participating in a programme, you agree to:
- Provide accurate and complete information when submitting enquiries or enrolment requests
- Use programme Content solely for your own internal reference and learning purposes
- Treat facilitators and other participants with professional courtesy during workshop sessions
- Not reproduce, distribute, publish, or commercially exploit any Karex Content without prior written permission
- Not use the website or programme materials for any unlawful purpose
- Not attempt to gain unauthorised access to any part of our website or systems
6. Intellectual Property
All Content produced by Karex — including course modules, workshop materials, reference handbooks, readiness plan templates, website copy, and design — is the exclusive intellectual property of Karex and is protected under applicable Malaysian intellectual property law.
Limited licence
Upon confirmed enrolment and full payment, Karex grants you a limited, non-exclusive, non-transferable licence to access and use programme Content for your own internal reference purposes only. This licence does not permit reproduction, redistribution, or commercial use.
Restrictions
- You may not copy, adapt, or republish Karex Content in any medium without prior written consent
- You may not use Karex Content to create derivative works for distribution or commercial purposes
- Readiness plans and workshop outputs produced during SEG-02 and SEG-03 engagements are prepared for your internal use — their distribution to third parties as advisory documents is not permitted
7. Payment & Refunds
All fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless stated otherwise. Payment methods accepted are communicated at the time of enrolment confirmation.
Refund policy
- SEG-01 (Online Course) — a full refund is available within 7 days of enrolment, provided that fewer than two modules have been accessed. No refund is available after this point.
- SEG-02 (Workshop) — cancellations made more than 14 days before the scheduled session date receive a full refund. Cancellations within 14 days receive a 50% refund. No refund is available for cancellations within 48 hours of the session.
- SEG-03 (Consulting Engagement) — if you withdraw within the first two weeks of engagement commencement, a pro-rated refund for undelivered work is issued. No refund applies after the second week.

8. Programme-Specific Terms
SEG-01 — Online Course
- Access is provided for 12 months from the date of enrolment confirmation
- Completion certificates are issued upon successful completion of all seven modules and the end-of-programme assessment
- Certificates are issued to the enrolled individual and are non-transferable
SEG-02 — Workshop
- Session dates and venue are agreed at the time of enrolment confirmation
- Karex reserves the right to reschedule a session with a minimum of 7 days' notice; a full refund is available if the rescheduled date is unsuitable
- Workshop outputs (reference handbook and reflection logs) are produced as internal reference materials only and do not constitute professional advisory documents
SEG-03 — Readiness Consulting Engagement
- The scope and schedule of the engagement is confirmed in a separate written brief agreed between Karex and the client organisation prior to commencement
- The written readiness plan produced as the final deliverable is prepared as an internal reference document; it does not constitute financial, legal, or investment advice
- Material changes to engagement scope requested by the client after commencement may result in a revised fee, agreed in writing
9. Disclaimers
Karex programmes are informational and educational in nature. They do not constitute financial, legal, investment, or regulatory advisory services. No Content produced or provided by Karex should be relied upon as professional advice specific to any transaction or legal matter.
The website and programme Content are provided on an "as available" basis. Karex does not warrant that the website will be uninterrupted or error-free, or that any specific educational or operational outcome will result from participation in a programme.
Karex does not represent that programme Content reflects the current state of any specific transaction market. Participants are responsible for engaging their own qualified advisors for any transaction-specific matter.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Karex's total liability arising from or relating to any programme or use of this website is limited to the fees actually paid by you for the relevant programme.
Karex is not liable for any indirect, incidental, or consequential loss or damage, including loss of profit, opportunity, or business, arising from participation in a programme or reliance on programme Content.
Force majeure
Karex is not liable for any failure or delay in delivering a programme resulting from circumstances beyond its reasonable control, including natural events, civil disruption, or infrastructure failures. In such cases, Karex will endeavour to reschedule the affected programme within a reasonable timeframe.
11. Indemnification
You agree to indemnify and hold harmless Karex and its personnel from any claims, losses, damages, or expenses (including legal fees) arising from your breach of these Terms, your misuse of programme Content, or any third-party claim resulting from your actions in connection with a Karex programme.
12. Termination
Karex may suspend or terminate your access to any programme or the website where you have breached these Terms, or where continued engagement is not practicable for operational reasons. Where termination occurs due to a Karex operational decision (not a breach by you), a pro-rated refund for undelivered programme elements will be provided.
You may withdraw from a programme at any time, subject to the refund terms in Section 7. Sections 6, 9, 10, 11, and 13 survive termination of this Agreement.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or connected to these Terms or a Karex programme shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Informal resolution
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally. You may raise a concern by writing to [email protected]. Karex will respond within 14 days. If the matter is not resolved within 30 days, either party may pursue formal remedies.
14. General Provisions
- Entire agreement — these Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Karex regarding use of the website and programmes
- Severability — if any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force
- Waiver — failure by Karex to enforce any provision does not constitute a waiver of that provision
- Assignment — you may not assign your rights or obligations under these Terms without Karex's prior written consent
- Notices — formal notices under these Terms should be sent in writing to [email protected] or to the registered address of Karex
15. Changes to Terms
Karex may update these Terms from time to time. The revised Terms will be published on this page with an updated "Last Updated" date. Material changes will be communicated by email to enrolled participants where a current address is held. Continued use of the website or participation in a programme following publication of revised Terms constitutes acceptance.
